Terms of Service

Effective Date: September 2026

2.1 Agreement to Terms

By accessing or using the services provided by VisualGridWorks, registered at 64546 Opelstrasse 6 Mörfelden-Walldorf, Germany, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must discontinue use of our services immediately.

2.2 Scope of Services

VisualGridWorks provides responsive web design, UI/UX consultation, accessibility auditing, design system development, and related digital interface services. All services are delivered based on explicitly contracted Statements of Work (SOW) executed between the client and VisualGridWorks.

2.3 Project Engagement & Payment

All project engagements begin upon mutual execution of a Statement of Work or project brief confirmation. Payment terms are as follows: 50% upfront deposit required to commence work, remaining 50% due upon project delivery and before final file transfer. All invoices are payable within 14 days of issuance. Late payments accrue interest at a rate of 5% per month.

2.4 Intellectual Property Rights

Upon complete settlement of all agreed invoices, VisualGridWorks assigns all worldwide intellectual property rights in the client-specific deliverables — including source code, design tokens, digital assets, and documentation — directly to the client. VisualGridWorks retains the right to display anonymized project work in its portfolio unless explicitly restricted in the SOW.

2.5 Revisions & Change Management

Standard project engagements include up to 2 rounds of revisions at no additional cost. Additional revision rounds are billed at €85/hour. Scope changes requested after SOW execution that materially alter project deliverables will be documented via a formal Change Order and may result in adjusted timelines and pricing.

2.6 Delivery & Acceptance

Upon delivery of final project files, the client has 7 business days to review and provide acceptance or request reasonable modifications. If no response is received within 7 business days, the project is deemed accepted. Delivered files include all source code, design assets, and deployment documentation as specified in the SOW.

2.7 Limitation of Liability

VisualGridWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total aggregate liability shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We are not responsible for losses resulting from third-party platform outages, client-side modifications, or force majeure events.

2.8 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. VisualGridWorks will not disclose client project details, business strategies, or technical specifications to any third party without prior written consent, except as required by law.

2.9 Termination

Either party may terminate the engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. All partially completed deliverables and working files will be transferred to the client upon settlement of outstanding invoices.

2.10 Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of the Federal Republic of Germany. Any disputes arising from or relating to these terms shall first be resolved through good-faith negotiation. If resolution cannot be reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts in Darmstadt, Germany.
